Franchise Law Business Transactions The firm serves as general or special counsel to companies in a broad range of industries. Its business law practice is primarily transaction-oriented, and includes the representation of corporations and other business entities in connection with business formation; mergers, acquisitions and divestitures; international business transactions; financings; venture capital transactions; franchising, licensing and distributorship matters; stock option plans; and general business planning. The firm also counsels individuals and corporations with respect to shareholder and partnership agreements, consulting and employment agreements, and executive compensation packages. The firm's senior transactional partner is Jonathan A. Blau. Mr. Blau was educated at the Wharton School of Business at the University of Pennsylvania (B.S., Magna cum laude, 1978) and at Stanford University Law School (J.D., 1981). He served as the Articles Editor of the Stanford Journal of International Law from 1980-81. Chester F. Hayes acts in an of counsel capacity to Gorman & Miller. Mr. Hayes has more than 25 years experience handling major domestic and international business transactions. He possesses particular expertise in technology licensing, cooperative technology development, government procurement, strategic alliances, and export control law. Prior to joining Gorman & Miller, Mr. Hayes served as in-house counsel for General Dynamics Government Services Corporation. He is a member of State Bars of Massachusetts and North Carolina.
