Gorman & Miller’s corporate group handles most types of commercial and business transactions. Its lawyers have represented businesses of all sizes and stages, ranging from start-ups to Fortune 500 companies. Its clients range from small, California-based companies to multinational corporations. The department’s practice is primarily transaction-oriented. It has particularly strong expertise in handling the legal issues facing high technology companies, including financings and acquisitions. In addition, the department provides general business planning, and counsels individuals and firms with respect to shareholder agreements, executive compensation, limited liability companies and general corporate matters.
Our corporate department takes special care to be cost-effective. Unlike many large firms, it does not overstaff projects with junior lawyers with little experience. As a result, its lawyers handle matter quickly and economically.
Gorman & Miller’s real estate practice provides both transactional and litigation-related services. The firm has expertise in handling purchases and sales, distressed debt workouts and bankruptcy sales, mortgage financing, exchanges, leases, co-tenancies, easements and boundary disputes, and construction contracts and disputes. There are three senior attorneys in our firm’s real estate department, with a combined total of over 100 years of experience in commercial real estate transactions.

We represented the buyer of the 674,000 square foot corporate campus in Bridgewater, New Jersey leased to Sanofi’s U.S. subsidiary. The acquisition closed in January 2022. Sanofi is the world’s eighth largest pharmaceutical company with a global workforce of over 100,000.
During the summer of 2021, we represented the buyer-landlord in the sale-leaseback of a YMCA facility in Des Moines, Iowa. The successful closing of this transaction is helping the YMCA of Greater Des Moines continue its 150-year charitable history of providing recreation, housing, meals, education and scholarships to the community.
In February 2020, we represented the buyer-landlord in the sale-leaseback of 21 Walgreens stores in 12 states. In August 2022, we represented the buyer-landlord in the sale-leaseback of 59 Walgreens stores in 12 states. As an essential business, Walgreens never closed during the pandemic, and its long-term leaseback of these properties will enable it to continue to provide pharmacy and other health care services at these locations for many years to come.
We represented a church district in the enforcement of its denomination’s polity against a member church that decided to disaffiliate from the denomination. The member church sought to partition real estate that was owned by the denomination in accordance with its polity that all member churches’ property is held in trust for the benefit of the denomination. After a trial and an appeal, the denomination’s polity was successfully enforced, and partition of the church property was prevented.
We represented a company based in mainland China in its acquisition by a Taiwanese company. Our client manufactured high quality lenses for cell phone cameras. We had previously represented the client in five rounds of venture capital financing totaling over $50 million.
